Supplier Content License

This Supplier Content License governs the rights granted by the operating Supplier to GRANDROUTES GLOBAL PTE. LTD. ("Gvoya") in respect of marketing content, photography, video, copy, and other creative material that Supplier provides to be displayed through the Gvoya AI voyage concierge platform (the "Service"). It supplements the Supplier Agreement and Supplier Data Processing Agreement.

1. Definitions

"Content" means any text, photograph, video, audio, illustration, graphic, logo, brand mark, trademark, descriptions, itinerary copy, deck plans, ship specs, sustainability claims, customer testimonial, or other material provided by Supplier to Gvoya in any format (direct upload, API push, crawler-collected from authorized sources, asset library) for distribution through the Service.

"Authorized Use" means any use of Content for the operation, marketing, and improvement of the Service consistent with this License.

2. Grant of License

Supplier grants Gvoya a non-exclusive, royalty-free, worldwide, transferable, sublicensable license to use, reproduce, distribute, publicly display, publicly perform, modify (for translation and format adaptation), and create derivative works of the Content for the duration of the Supplier Agreement plus the wind-down period in §10. Specifically:

a. Display on Service properties — gvoya.com (B2C), b2b.gvoya.com (B2B partner portal), supplier.gvoya.com (supplier portal), mobile apps, AI Concierge conversation outputs, marketing emails to opted-in users;

b. Translation to 24 languages — Gvoya may translate Supplier copy and metadata using AI-assisted translation with locked legal terminology (see Privacy Policy §4). Translations are quality-checked via back-translation similarity scoring;

c. Resampling and format adaptation — image cropping for grid views, hero banners, mobile thumbnails; video transcoding to streaming formats; conversion of PDF deck plans to interactive viewer; adaptation to Gvoya design system without altering substantive meaning;

d. AI-assisted matching — use of Content metadata (location tags, vessel categories, itinerary themes) by the AI Concierge to recommend voyages to consumers based on their stated preferences. Raw photography and detailed copy are not ingested into AI-model training without Supplier's separate written consent;

e. B2B distribution — sublicense to Partners (travel agents, organizations) registered on the Service for the limited purpose of presenting voyages to their Clients;

f. Search-engine indexing — for SEO purposes (display in Google, Bing, Baidu, Yandex search results) consistent with industry-standard robots.txt and meta-tag controls;

g. Marketing collateral — case studies, sales decks, B2B brochures, conference materials, and partner success stories that feature voyages by Supplier (with co-branding if applicable);

h. Editorial use — articles in the Gvoya knowledge base, AI Concierge knowledge base entries, and seasonal recommendation content drawing on the Supplier's offerings.

3. Supplier Warranties

Supplier represents and warrants that:

a. Supplier owns or holds all necessary rights, licenses, releases, and authorizations from third-party rightholders (photographers, videographers, models, agencies) to grant the rights in this License;

b. Models depicted in photography (including end consumers, crew, indigenous communities) have provided informed consent for the broad commercial use described above, with applicable model releases on file;

c. The Content is true, accurate, and not misleading — itinerary descriptions, vessel specs, cabin photography, and amenities lists must reflect actual delivery;

d. The Content does not infringe any third party's copyright, trademark, right of publicity, privacy right, or other proprietary right;

e. The Content complies with all applicable advertising, consumer protection, environmental claim ("greenwashing"), and indigenous-cultural-heritage regulations in the jurisdictions where the Service operates (notably the FTC Green Guides 16 CFR §260, EU Green Claims Directive, Australian Consumer Law, and indigenous cultural heritage protections);

f. The Content does not contain malware, exploits, or hidden tracking pixels;

g. Trademarks or registered designs in the Content are properly attributed and not used in a manner likely to confuse consumers about Supplier's relationship with Gvoya;

h. Children depicted (under 16, or local age of majority) have parental/guardian written consent on file.

4. Restrictions on Gvoya

Notwithstanding the broad license grant, Gvoya shall not:

a. Use the Content to disparage Supplier or any third party;

b. Edit factual claims (departure dates, prices, vessel specs) without Supplier's confirmation; corrections may be made for typographical or formatting errors;

c. Apply photographic filters or AI-generated transformations that materially alter the depicted vessel, destination, or experience in a misleading way;

d. Use Supplier's trademarks outside the editorial and listing context without prior written approval;

e. Train, fine-tune, evaluate, or benchmark large-language or computer-vision models on Supplier's raw photography or full-text descriptions without Supplier's separate written consent. AI Concierge matching uses metadata, not raw content;

f. Sell or license raw Content to third parties outside the partner-portal sublicense in §2(e).

5. AI and Generative Content

Gvoya may produce generative or composite content that references Supplier's voyages — for example:

  • AI Concierge text recommending the voyage with a paraphrased description;
  • Auto-translated copy in any of 24 languages;
  • Content summarized for social-media snippets or pre-departure briefings.

Such generative outputs are not themselves Content under this License and are owned by Gvoya, but Gvoya warrants that such outputs accurately reflect the underlying Content and shall correct material inaccuracies promptly upon Supplier's written notice.

6. Removal and Take-down

Supplier may request removal of any individual Content item at any time by writing to suppliers@gvoya.com. Gvoya shall remove the item from the Service within seven (7) calendar days. The license in respect of the removed item terminates upon removal except for backups and archival copies retained for legal hold.

For factual inaccuracies (wrong cabin count, outdated price, expired offer): updates within twenty-four (24) hours.

For copyright/IP-infringement complaints (e.g., a third-party copyright owner claims Supplier did not have rights to provide the Content): Gvoya reserves the right to remove pending resolution and to invoke Supplier's indemnity in §8.

7. Branding Reciprocity

Where Gvoya is featured in Supplier's marketing (Supplier's own website partner-page, brochures, trade-show materials), Supplier shall:

a. Use Gvoya brand assets per the Brand Guidelines provided separately; b. Not modify the Gvoya logo, taglines ("Tell Us Your Dream. AI Does the Rest.", "The World's AI Voyage Concierge"), or color palette; c. Respect logo clear-space and minimum-size requirements; d. Submit any major Gvoya-featuring campaign for prior approval (turnaround typically 5 business days).

Gvoya may revoke Supplier's use of Gvoya brand assets for misuse with thirty (30) days' notice (immediate notice for material damage to Gvoya's brand).

8. Indemnification

Supplier shall indemnify, defend, and hold harmless Gvoya and its affiliates, officers, directors, employees, and agents from and against any claim, demand, loss, liability, or expense (including reasonable legal fees) arising from:

  • Breach of warranties in §3
  • Third-party IP claims relating to Content
  • Misleading or non-compliant marketing claims in Content
  • Failure to obtain required model releases or consents

Gvoya shall indemnify Supplier against claims arising from Gvoya's misuse of Content beyond the scope of this License or from material alterations not authorized by §4.

9. AI-Specific Reservation of Rights

Supplier reserves all rights in Content for AI-training purposes outside the explicit grants of this License. Gvoya shall not be deemed to have consented to use of Content for training, fine-tuning, evaluating, or benchmarking any artificial-intelligence or machine-learning model — whether of Gvoya, Anthropic, OpenAI, Google, or any other party — without Supplier's separate, explicit, written consent. Gvoya shall not transmit raw Content to any third-party AI service for training purposes (transient inference for the AI Concierge user-facing service is permitted as it is metadata-driven).

10. Term, Wind-down, and Termination

This License runs for the term of the Supplier Agreement. On termination:

a. New display of Content on the Service ceases immediately; b. A wind-down period of thirty (30) days applies to allow removal from caches, CDN edges, partner-portal materials, and crawl indices; c. Backups and archival copies may be retained for the legal-retention period (typically seven (7) years for accounting / disputes), after which they are deleted; d. Pre-printed marketing materials in distribution (e.g., trade-show brochures) may be exhausted in their natural cycle (no obligation to recall); e. AI Concierge knowledge base entries referring to Supplier's voyages are deactivated within seven (7) days; f. Sections naturally surviving (warranties, indemnification, dispute resolution, AI reservation in §9) survive termination.

11. Governing Law and Disputes

Singapore law governs. Disputes resolved per Supplier Agreement §15. Each party retains the right to seek interim relief.
